Speaker Agreement

The speaker shall present as described herein as an independent contractor; and the speaker shall have no obligation with regard to such presentation, as a result of this agreement to anyone other than the Legendary Events, Tonya Tyus.

Speaker will NOT use profanity throughout his/her presentation.

Speaker agrees to be fully prepared to speak at the event and communicate with Legendary Events, Tonya Tyus.

Speaker agrees to be present for the duration of the event (before and after presentation), unless otherwise communicated to Legendary Events, Tonya Tyus

Legendary Events, Tonya Tyus shall not be responsible for any refund if parties fail to give the presentation due to circumstances outside of both parties control.

Legendary Events, Tonya Tyus has the right to repurpose clips of the Speaker's presentation in future promotion of events.

Speaker releases media rights to Legendary Events, Tonya Tyus to use any photos taken, or audio/media used.

Legendary Events, Tonya Tyus reserves the right to terminate this agreement without refunds if speaker is found to be uncooperative in any of the aforementioned duties.

The Speaker understands Legendary Events, Tonya tyus is not providing a guaranteed number of attendees, and will be promoting the event with the intention to fill the room with great people you can network, collaborate, and turn into clients.

Disclaimer and Standard Terms

To accept participation in the Spring Showcase, which is offered by Tonya Tyus and Legendary Events, Speaker/Sponsor expressly acknowledges and agrees that nothing in this document or any other written or oral communication relating to the Event, or any materials promulgated or distributed with respect thereto constitute a representation or guarantee. The project is performed by Legendary Events, Tonya Tyus as an educational event for the Speaker/Sponsor, and no representation or warranty of any kind regarding specific or general benefits, monetary or otherwise, was or has been made by the Event and/or its board, agents, and employees including, without limitation, Tonya Tyus and Legendary Events.

Speaker/Sponsors acknowledge that neither the Event nor the Promoter, in whole or in part, are responsible for
Speaker's/Sponsor’s business success or failure, for Speaker's/Sponsor’s acts or omissions, or the appropriateness or Speaker's/Sponsor’s business decisions heretofore or hereafter.

Speaker/Sponsor hereby releases the Event and the Promoter from, and agrees and covenants that Speaker/Sponsor will not contact any governmental agency nor sue the Promoter on account of any and all claims or causes of action in connection with the Event, and, in no event shall the Event or the Promoter be
liable for any punitive damages, incidental or consequential damages whatsoever.

Speaker/Sponsor hereby agrees to and does indemnify the Event and the Promoter and holds them, and each of them, harmless from and will defend them against any and all claims, judgments, liabilities, expenses and damages (including attorney fees and costs) arising out of or in connection with any breach by Speaker/Sponsor of its obligations, agreements of covenants hereunder, and, any acts or omissions by the Speaker/Sponsor, its agents, representatives and employees whatsoever. Any and all claims and actions arising out of the Event, this document, or otherwise, shall be exclusively arbitrated in United States of America, in the State of California, in accordance with the then prevailing Rules and Regulations of the American Arbitration Association, which proceedings shall be final and binding, and strictly confidential. Neither the existence of such proceedings or the results thereof shall be disclosed to any third party, unless expressly required by law.

SPEAKER/SPONSOR REPRESENTS AND WARRANTS THAT SPEAKER/SPONSOR IS FULLY COMPETENT TO CONTRACT IN HIS/HER OWN NAME, HAS CAREFULLY READ THIS STANDARD AUDIO AND VISUAL RELEASE AND STANDARD TERMS, FULLY UNDERSTANDS ITS CONTENTS AND HAS HAD AMPLE OPPORTUNITY TO CONSULT WITH SPONSOR’S OWN INDEPENDENT ATTORNEY OR ANOTHER ADVISOR BEFORE EXECUTING SAME.
